END USER LICENSE AGREEMENT (EULA)

Effective Date: March 2, 2026

This End User License Agreement (“EULA” or “Agreement”) constitutes a legally binding agreement between you (“User”, “you”, or “your”) and Red Root LTD (“Company”, “we”, “our”, or “us”), a company organized under the laws of Israel, with its principal address at Abba Eban 10, Herzliya, Israel. This Agreement governs the installation, access, and use of the setup utility and any related software components associated with the application known as Bitconvertly (the “Software” or “Installer”). By downloading, installing, accessing, or otherwise using the Software, you acknowledge that you have read, understood, and agreed to be bound by the terms set forth in this Agreement.

Ownership and Scope

The Software and all related components are owned by the Company or its licensors and are protected by applicable intellectual property laws. This Agreement applies to the Software in its entirety, including all of its modules, internal mechanisms, features, updates, and any related services provided through the Software.

Acceptance of Terms

By installing, accessing, or interacting with the Software, you confirm that you accept and agree to comply with this Agreement as well as the accompanying Privacy Policy. If you do not agree with any part of these terms, you must immediately stop using the Software and remove it from your device.

For the purpose of system functionality, security monitoring, and analytics, the Software may process certain technical information related to usage and device environment. Additional information about data practices is available in the Privacy Policy, which we recommend reviewing prior to installation.

Software Functionality

By initiating the installation process, you authorize the Company to install the Software and the necessary background components required for its operation. Additionally, Bitconvertly may operate as a default tool for file processing and you accept all additional terms and conditions applicable to its features and functionality.

License Grant

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, revocable, non-transferable license to install and use the Software strictly for personal and non-commercial purposes. All rights not expressly granted herein remain reserved by the Company and its licensors.

Third-Party Services and Content

The Software may include references to, integrations with, or access to third-party services, advertisements, platforms, or promotional materials. The Company does not control or endorse such third-party content and assumes no responsibility for their availability, accuracy, or legality. Any engagement with third-party services is undertaken solely at your discretion and may be governed by separate terms and policies established by the respective third parties.

User Responsibilities

When using the Software, you agree that you will not:

  • Copy, reproduce, distribute, sell, lease, or otherwise exploit the Software for commercial purposes
  • Modify, adapt, reverse engineer, decompile, or attempt to extract the source code of the Software
  • Attempt to bypass security measures or gain unauthorized access to the Software systems
  • Use the Software in connection with unlawful, deceptive, or malicious activities
  • Violate any provision of this Agreement

Violation of these obligations may result in the immediate suspension or termination of your license and may expose you to legal action.

Intellectual Property Rights

All intellectual property rights related to the Software—including trademarks, source code, design elements, and proprietary technology—are owned by the Company or its partners. Nothing contained in this Agreement shall be interpreted as transferring any ownership rights in the Software to the User.

Disclaimer of Warranties

The Software is provided on an “as is” and “as available” basis without any warranties of any kind, whether express or implied. The Company does not warrant that the Software will operate without interruption, errors, or defects. You acknowledge that the use of the Software is at your own risk.

Limitation of Liability

To the fullest extent permitted by applicable law, the Company shall not be responsible for any indirect, incidental, special, or consequential damages arising from the use or inability to use the Software. The total liability of the Company shall in no event exceed ten (10) USD or the amount paid by you for the Software, whichever is lower.

Updates and Improvements

The Company may periodically provide updates, improvements, patches, or bug fixes for the Software. By continuing to use the Software following such updates, you agree to accept the modifications. Temporary interruptions or changes in functionality may occur while updates are deployed.

Termination

This Agreement remains effective until terminated. You may terminate this Agreement at any time by uninstalling the Software and ceasing all use of it. The Company reserves the right to terminate or suspend access to the Software immediately if you breach this Agreement or if your use presents risks to the Company, its partners, or other users. Upon termination, all licenses granted under this Agreement will automatically cease.

Changes to this Agreement

The Company reserves the right to update or modify this Agreement at any time. Revised versions become effective upon publication. Continued use of the Software following such changes constitutes acceptance of the updated terms.

General Terms

If any provision of this Agreement is deemed unenforceable, the remaining provisions shall remain fully valid and enforceable. Failure by the Company to enforce any provision shall not constitute a waiver of its rights. You may not transfer or assign your rights under this Agreement without prior written consent from the Company.

Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Israel. Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in Tel Aviv, Israel. Any claim related to this Agreement must be filed within one (1) year from the date the cause of action arose.

Force Majeure

The Company shall not be held responsible for delays or failures in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, technical outages, acts of government, or interruptions of telecommunications services.
